How Does the Notarial Online Procedure for Forming a UG in Berlin Work?
Forming a UG online in Berlin – notarial procedures can now be handled conveniently in digital form, while the quality of personal consultation remains exactly the same. All you need is a computer with an internet connection, a webcam and a microphone, a smartphone, and a current ID with eID function. For ID cards issued from July 2017 onwards, eID is standard. For ID cards issued before 2 August 2021, your passport will also be required.

Alternatively, you can access the Federal Chamber of Notaries’ portal for notarial online procedures directly at https://online.notar.de/. Here you can also see exactly which online notarisations are available.
In both cases, your registration for the online procedure begins with the reading of your ID. The portal provides a QR code which you scan using the Notar app. The app then reads your ID electronically and transmits all the required data.
Step by Step to Your Online UG Formation
The online formation of a UG follows clearly structured steps that you can complete easily using the Notar app and a secure video conference.
Here is how the entire process works:
- In both cases, your registration for the online procedure begins with the reading of your ID.
- The portal provides a QR code which you scan using the Notar app.
- The app then reads your ID electronically and transmits all the required data.
- This is followed by a number of questions about the UG formation. At this point, you simply select Notar Franke via the app.
- We will then clarify any remaining questions together in a phone consultation or by email, and you will receive a draft of the formation deed.
- Once everything has been confirmed, the video conference takes place.
- For secure identification, your ID is read again via the Notar app, which also transmits your photo to the Notar Franke team.
With this efficient process and the support of Notar Franke, your UG formation is carried out quickly and securely – fully online, yet with the same personal consultation you would expect in person.
After Notarisation of the Online UG Formation
Following online notarisation under § 16a BeurkG, the deed is signed using an electronic signature. Once Notar Franke has also signed, the notarisation is complete. You can then open a bank account of your choice and deposit the share capital. Following notarisation and receipt of the share capital deposit, we transmit the deed electronically to the registry court for entry in the commercial register. As soon as the registration has been completed and notarially verified by us, you will be notified immediately of the successful conclusion of the process.

To form a UG or GmbH with a notary, there is no need to book an in-person appointment, travel to Notar Franke in Berlin, or search for parking. Everything can now be handled conveniently online. Online procedures are permitted for the formation of a GmbH or UG where a cash contribution is involved, meaning the share capital is paid into the company’s bank account. In straightforward cases, the model articles of association (Musterprotokoll) can also be used – a simplified formation document that combines the articles of association, shareholder list and appointment of managing director in a single document. Founders can now form their company simply and conveniently from anywhere via the internet. In addition, amendments to the articles of association (LINK) and notarial online certifications in connection with filings to the commercial register, the partnership register and the cooperative register can also be carried out online. More complex matters cannot yet be handled through the notarial online procedure.
I prefer not to use the online procedure – can I still instruct Notar Franke to handle the notarisation?
Of course! You are always welcome to book an in-person appointment with Notar Franke in Berlin Charlottenburg and handle everything as usual in a personal meeting. The notarial online procedure is simply an added convenience for certain processes that can now also be handled digitally. The notarial online procedure has been designed to be user-friendly, so no special technical knowledge is required. If you know how to use a smartphone and a computer, that is more than sufficient. In addition to the statutory fees for notarisation or certification of a GmbH or UG, flat-rate costs apply for the online procedure. €25 plus VAT is charged per notarisation procedure, while €8 is charged per certification procedure.
